1. Introduction and Acceptance

1.1 Agreement to Terms

Welcome to Zenxo.ai ("Platform," "Service," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zenxo.ai governing your access to and use of our AI-powered algorithmic trading platform, including all associated websites, applications, APIs, and services.

1.2 Acceptance

By accessing, browsing, or using Zenxo.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.

1.3 Eligibility

To use Zenxo.ai, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Have a valid trading account with one of our supported brokers (Zerodha Kite, Groww, or Dhan)

1.4 Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

2. Description of Services

2.1 Platform Overview

Zenxo.ai is an AI-powered algorithmic trading platform that provides:

• AI Strategy Engine: Machine learning-based trading strategy generation and optimization
• Backtesting Tools: Historical performance testing with market data analysis
• Live Trading Automation: Automated order execution through integrated broker connections
• Strategy Marketplace: Platform for sharing and subscribing to trading strategies
• Portfolio Management: Real-time portfolio tracking and analytics
• Risk Management: Position sizing, stop-loss management, and risk analytics

2.2 Supported Brokers

Our Platform integrates with the following Indian stockbrokers:

• Zerodha Kite (REST API & WebSocket)
• Groww (REST API & WebSocket)
• Dhan (REST API & WebSocket)

3. User Accounts and Registration

3.1 Account Creation

To access certain features, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide truthful registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized account access

3.2 Account Security

You are solely responsible for:

• All activities occurring under your account
• Maintaining the confidentiality of your password and API keys
• Any consequences arising from unauthorized account access due to your negligence

3.3 Broker Account Connection

When connecting your broker account to Zenxo.ai:

• You authorize us to access your broker account via official APIs
• You confirm that you have the right to authorize such access
• You understand that we will execute trades on your behalf based on your configured strategies
• You acknowledge that broker-specific terms and conditions also apply

3.4 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• You misuse the Platform or its features
• Your account poses security risks

4. Subscription Plans and Payments

4.1 Subscription Tiers

Zenxo.ai offers various subscription plans with different features and pricing. Details of current plans are available on our pricing page.

4.2 Payment Terms

• All fees are quoted in Indian Rupees (INR) unless otherwise specified
• Subscription fees are billed in advance on a monthly or annual basis
• You authorize us to charge your selected payment method for all applicable fees
• Prices are subject to change with prior notice

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless:

• You cancel before the renewal date
• We discontinue the service
• Your payment method fails

4.5 Taxes

You are responsible for all applicable taxes, duties, and levies associated with your subscription.

5. Intellectual Property Rights

5.1 Platform Ownership

Zenxo.ai and its entire contents, features, and functionality (including but not limited to all software, code, algorithms, designs, text, graphics, logos, and trademarks) are owned by Zenxo.ai and are protected by intellectual property laws.

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes.

5.3 Restrictions

You may not:

• Copy, modify, or distribute any Platform content
• Reverse engineer, decompile, or disassemble our software
• Remove any proprietary notices or labels
• Use our trademarks without prior written consent
• Create derivative works based on our Platform
• Resell or commercially exploit our services without authorization

5.4 User-Generated Content

Any trading strategies, configurations, or content you create on our Platform:

• Remain your intellectual property
• Grant us a non-exclusive license to use for Platform operation
• May be shared publicly if you choose to publish on the Marketplace

5.5 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.

6. User Conduct and Prohibited Activities

6.1 Acceptable Use

You agree to use Zenxo.ai only for lawful purposes and in accordance with these Terms.

6.3 Compliance with Laws

You are solely responsible for ensuring your trading activities comply with:

• Securities and Exchange Board of India (SEBI) regulations
• Foreign Exchange Management Act (FEMA) provisions
• Income Tax Act requirements
• Any other applicable laws and regulations

7. Broker Integration and Trading

7.1 Broker Relationship

• Zenxo.ai is not a stockbroker and does not hold your funds or securities
• Your trading account is held with your chosen broker
• All trades are executed through your broker's infrastructure
• Broker-specific terms, fees, and conditions apply separately

7.2 API Access

• We access your broker account through official APIs provided by the broker
• You are responsible for maintaining valid API credentials
• API access may be subject to broker-imposed limits and restrictions

7.3 Order Execution

• Orders are transmitted to your broker based on your strategy configurations
• We do not guarantee order execution, fill prices, or timing
• Market conditions, broker systems, and network issues may affect execution
• You acknowledge that slippage, partial fills, and order rejections may occur

7.4 Supported Order Types

Our Platform supports various order types depending on your broker:

• Regular orders (Market, Limit, SL, SL-M)
• GTT (Good Till Triggered) orders
• OCO (One Cancels Other) orders
• Bracket orders
• Cover orders
• Forever orders (Dhan-specific)

8. AI and Algorithmic Trading

8.1 AI-Generated Strategies

• Our AI engine generates trading strategies based on historical data and machine learning models
• AI recommendations are not guaranteed to be profitable
• Past performance of AI strategies does not guarantee future results
• You should independently evaluate all AI-generated suggestions

8.2 Backtesting Limitations

• Backtesting results are based on historical data and hypothetical scenarios
• Backtests do not account for real-world factors like slippage, liquidity, and market impact
• Past performance in backtests does not predict future results
• Backtesting has inherent limitations and should not be the sole basis for trading decisions

9. Disclaimers

9.2 No Guarantees

We make no guarantees regarding:

• Profitability of any trading strategy
• Accuracy of AI-generated recommendations
• Availability or reliability of the Platform
• Performance of backtested strategies in live markets

9.4 Third-Party Services

We are not responsible for:

• Broker API outages or failures
• Third-party data accuracy
• External service disruptions
• Actions or omissions of integrated service providers

10. Limitation of Liability

10.2 Acknowledgment of Risk

You acknowledge and agree that:

• Trading in securities involves substantial risk of loss
• You may lose some or all of your invested capital
• You are solely responsible for your trading decisions
• Zenxo.ai does not guarantee any trading outcomes

10.3 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, exchange closures, or internet outages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zenxo.ai, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any laws or regulations
• Your trading activities
• Any content you submit to the Platform
• Your infringement of any third-party rights

12. Privacy and Data Protection

12.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12.2 Data Collection

We collect and process personal data as described in our Privacy Policy, including:

• Account registration information
• Trading activity and preferences
• Platform usage data
• Device and browser information

12.3 Data Security

We implement reasonable security measures to protect your data but cannot guarantee absolute security.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.

13.3 Arbitration

At our sole discretion, we may require disputes to be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

13.4 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
